1. General
FUTURA ("we", "us", "our") is a Facebook advertising agency specializing in paid social media marketing, campaign strategy, ad creation, audience targeting, and performance optimization for businesses across various industries.
We work with each client ("you") under individually agreed contracts that define the scope, deliverables, timelines, fees, and any other applicable terms.
These Terms & Conditions provide general context for our engagements but are always subject to the specific terms agreed in writing with each client.
2. Client Agreements
Every client engagement is governed by a separate contract or statement of work ("Agreement"), which outlines:

Scope of Services (campaign setup, ad creation, management, reporting, etc.)
●
Deliverables and expected outcomes
●
Fees & Payment Terms
●
Ad spend budget and responsibility
●
Timelines and campaign duration
●
Access requirements (Facebook Business Manager, Ad Accounts, Pages)
●
Confidentiality
●
Intellectual Property
●
Termination Terms
●
Any other relevant terms or conditions
In case of any conflict between these Terms & Conditions and a signed Agreement, the Agreement will take precedence.
3. Services Overview
Our services typically include, but are not limited to:

Facebook and Instagram advertising campaign strategy
●
Ad account setup and configuration
●
Creative development (ad copy, graphics, video ads)
●
Audience research and targeting
●
Campaign management and optimization
●
A/B testing and performance analysis
●
Monthly reporting and consultation
●
Compliance with Meta advertising policies
The exact scope of services will be defined in each individual client Agreement.
4. Client Responsibilities
To ensure successful campaign execution, clients must:

Provide timely access to Facebook Business Manager, Ad Accounts, and relevant Pages
●
Provide necessary creative assets, brand guidelines, and product information
●
Approve ad creatives and campaigns before launch
●
Maintain compliance with Meta's advertising policies and community standards
●
Fund their own Facebook ad spend budget (unless otherwise agreed)
●
Respond to requests for information or approvals within agreed timeframes
●
Ensure their Facebook account, Page, and payment methods remain in good standing
Failure to meet these responsibilities may impact campaign performance and timelines.
5. Ad Spend & Budget
Management Fee vs. Ad Spend:

Our service fees cover strategy, management, and execution
●
Facebook ad spend is separate and paid directly by the client to Meta/Facebook
●
Clients are responsible for funding their own ad accounts unless alternative arrangements are agreed in writing
Budget Control:
●
Clients maintain full control over their ad spend budget
●
We will work within the agreed budget parameters outlined in the Agreement
●
Any budget increases require client approval
6. Payment Terms
●
Payment terms are specified in each individual Agreement
●
Invoices are typically issued monthly or as otherwise agreed
●
Late payments may result in suspension of services
●
All fees are exclusive of applicable taxes unless stated otherwise
7. Performance & Results
No Guaranteed Outcomes:
While we work diligently to achieve the best possible results, we cannot guarantee specific outcomes such as:

Number of leads or conversions
●
Cost per acquisition (CPA) or return on ad spend (ROAS)
●
Sales revenue or business growth
●
Ad approval or account status
Performance is influenced by many factors outside our control, including product-market fit, website quality, offer competitiveness, seasonal trends, and Meta platform changes.

8. Meta/Facebook Compliance
Client Responsibility:
●
Clients are ultimately responsible for ensuring their ads, products, and business comply with Meta's Advertising Policies, Community Standards, and Terms of Service
●
FUTURA will make reasonable efforts to ensure compliance, but cannot be held liable for account suspensions, ad rejections, or policy violations
Account Issues:
●
We are not responsible for Facebook ad account suspensions, business manager restrictions, or payment issues
●
We will provide support and guidance to resolve such issues, but resolution is ultimately between the client and Meta
9. Confidentiality
We treat all client information and materials shared with us as confidential unless otherwise agreed.
Both parties agree not to disclose confidential information to any third party without prior written consent.
If required, we are happy to sign a separate Non-Disclosure Agreement (NDA) to formalize this commitment.
10. Intellectual Property
Client-Provided Materials:

Clients retain ownership of all materials, logos, brand assets, and content provided to us
FUTURA-Created Materials:
●
Ownership of deliverables (ad creatives, copy, strategy documents) is outlined in each Agreement
●
Typically, final approved deliverables become the client's property upon full payment
●
Any proprietary tools, templates, methodologies, or processes developed by FUTURA remain our property
Portfolio Rights:
●
Unless otherwise agreed, we reserve the right to showcase our work (anonymized or with permission) in our portfolio, case studies, or marketing materials
11. Contract Duration & Termination
Duration:
●
Engagement duration is specified in each Agreement
●
Most contracts are structured as monthly retainers or project-based agreem
Termination:
●
Either party may terminate the Agreement as outlined in the specific contract terms
●
Typically, 30 days written notice is required for ongoing retainer agreements
●
Client remains responsible for payment of all services rendered up to the termination date
●
Upon termination, we will provide handover documentation and transfer of relevant assets
Post-Termination:
●
Client retains access to their Facebook accounts and all campaign data
●
FUTURA is not responsible for campaign management after termination date
12. Limitation of Liability
FUTURA provides its services with professional care and skill.
However, our total liability for any claims arising from our services shall not exceed the total fees paid by the client in the 12 months preceding the claim.
We are not liable for:

Loss of revenue, profits, or business opportunities
●
Indirect or consequential damages
●
Issues caused by third-party platforms (including Meta/Facebook)
●
Client's failure to meet their responsibilities
●
Changes to Meta's advertising policies or platform functionality
13. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
●
Meta/Facebook platform outages or policy changes
●
Natural disasters
●
Government actions or regulations
●
Internet or telecommunications failures
●
Pandemics or public health emergencies
14. Amendments
We reserve the right to update these Terms & Conditions at any time. Clients will be notified of significant changes.
Individual client Agreements may only be amended with written consent from both parties.
15. Governing Law & Jurisdiction
These Terms & Conditions, and any client Agreement, are governed by the laws of [Your Country/State].
Any disputes will be resolved in the courts of [Your Jurisdiction].
16. Entire Agreement
These Terms & Conditions, together with any signed client Agreement, constitute the entire agreement between FUTURA and the client, superseding any prior discussions or agreements.
